Terms of Service

These terms are an agreement between you and Base MLO LLC ("BASE", "we", "us") for use of the BASE CRM at base.loan and app.base.loan (the "Service"). By creating an account or using the Service, you agree to these terms. If you use BASE for a company, you agree on its behalf and confirm you have authority to do so.

1. Your account

• You must be at least 18 and give accurate account information.
• Keep your password private. You are responsible for activity in your account and for the users you invite.
• Tell us right away at support@base.loan if you believe your account has been accessed without permission.

2. Your data

You own the data you put into BASE, including your contacts and loan information. You give us permission to store, process and transmit it only as needed to provide and support the Service. Our Privacy Policy explains how we handle it. You can export or delete your data at any time.

3. Your responsibilities

You are responsible for how you use BASE to contact people. You agree to:

• Only add and contact people you have a lawful basis to contact, and honor opt-out and unsubscribe requests.
• Follow the laws that apply to your business, including the Gramm-Leach-Bliley Act, the Telephone Consumer Protection Act, CAN-SPAM, state licensing and advertising rules, and your employer's or broker's policies.
• Not upload Social Security numbers, bank account numbers or borrower documents to BASE. BASE is not built to store them.
• Review emails, texts and AI-drafted content before relying on them. You are responsible for what is sent from your account.

4. Things you may not do

• Send spam or unlawful, misleading or harassing messages.
• Try to access another customer's data, or probe, overload or break the Service.
• Copy, resell or reverse engineer the Service, or use it to build a competing product.
• Use the Service in violation of any law.

We may suspend accounts that break these rules or put the Service or other customers at risk.

5. Connected services

BASE can connect to services you choose, such as Arive, Microsoft 365, Gmail, Twilio and iMessage. Those services are provided by their own companies under their own terms. We are not responsible for their availability or for changes they make that affect BASE.

6. AI features

Some features use AI to draft emails, summarize your inbox or read documents. AI output can be wrong or incomplete. It is not legal, financial or underwriting advice, and you should check it before using it.

7. Fees

Paid plans, if any, are described on our pricing page and billed in advance. Fees are non-refundable except where required by law. We will give at least 30 days' notice before changing the price of your plan.

8. Availability and changes

We work to keep BASE running, but we do not guarantee it will always be available or error-free. We may add, change or remove features. If we stop offering the Service, we will give you reasonable notice and a chance to export your data.

9. Ending your account

You can cancel at any time. We may end or suspend your account for breaking these terms or for non-payment. After your account ends, we delete your data as described in the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. BASE is a tool for loan officers; it is not a lender and does not make credit decisions.

11. Limitation of liability

To the extent the law allows, BASE is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid BASE in the 12 months before the claim.

12. Indemnity

You agree to defend and hold BASE harmless from claims arising from your data, your messages, or your violation of these terms or the law.

13. Governing law

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in Maricopa County, Arizona.

14. Changes to these terms

We may update these terms. If we make a significant change, we will tell you by email or in the app before it takes effect. Continuing to use BASE after that means you accept the updated terms.
